We are looking for an Associate, US Corporate Secretarial Services to join our team. If you have experience in corporate governance and company secretarial services, enjoy working with global clients, and want to be part of a collaborative and multicultural environment, this opportunity is for you.
In this role, you will support US and international clients in managing their corporate governance and compliance obligations, ensuring accuracy, timeliness, and high-quality service delivery.
Key Responsibilities
- Provide a full scope of company secretarial, regulatory compliance, and corporate governance services in accordance with applicable laws and regulations.
- Support the formation of new entities in the US and assist with additional state registrations (Secretary of State, Payroll Tax, Income Tax authorities).
- Prepare and draft corporate documentation, including board minutes, shareholder resolutions, and governance reports.
- Draft and coordinate annual reports and other statutory filings across multiple jurisdictions.
- Assist clients with corporate changes such as director changes, entity name changes, and legal entity conversions.
- Manage multi-state and multi-country company secretarial projects to ensure timely and accurate delivery.
- Maintain client systems and project trackers to provide visibility on compliance status.
- Escalate issues proactively and collaborate with internal teams to ensure effective resolutions.
- Build strong relationships with clients and internal stakeholders while maintaining high service standards.
Requirements
- 2–3 years of experience in company secretarial services, corporate governance, or related roles within a professional services firm or law firm.
- Strong understanding of US corporate secretarial requirements and regulatory compliance.
- Experience preparing corporate documentation and managing statutory filings.
- Excellent communication and interpersonal skills.
- Strong organizational and project management skills.
- Ability to work independently, manage multiple priorities, and meet deadlines.
- Bachelor’s degree in a relevant field.
Desired Requirements
- Experience managing multi-state or multi-country corporate secretarial projects.
- Exposure to international governance requirements.
- Foreign language skills (a plus).
- Experience working with corporate, private equity, or fund clients.
- Strong client-service mindset with the ability to anticipate client needs.
